Terms of Service

These Terms govern your access to and use of the SchoolDesk platform. By creating an account or using the service, the school and its authorised users agree to these Terms.
1. Agreement
These Terms form a binding agreement between SchoolDesk Labs ("SchoolDesk", "we", "us") and the school or organisation that subscribes to the service ("Customer", "you"). If you use SchoolDesk on behalf of a school, you confirm you are authorised to bind that school to these Terms.
2. Definitions
- Service — the SchoolDesk bot, Telegram Mini App, web dashboard, and related features.
- Authorised User — staff granted access by the Customer.
- Guardian — a parent or guardian who links to the Customer's bot.
- Customer Data — data the Customer or its users submit to the Service.
3. Accounts & eligibility
- You must provide accurate account information and keep it current.
- You are responsible for safeguarding credentials and for all activity under your accounts.
- You must promptly notify us of any unauthorised use or suspected security breach.
4. Subscription & fees
SchoolDesk is offered on a subscription basis, typically priced per active student per month, as set out in your order or quote. Unless stated otherwise, fees are exclusive of applicable taxes. We may revise pricing for future billing periods with reasonable prior notice.
5. Payments & FPX
Tuition and other fees collected from guardians are processed through FPX and our payment processor. SchoolDesk does not hold Customer funds; payments settle to the Customer's own registered bank account. Standard payment-rail charges (e.g. FPX MDR) apply and are not marked up by SchoolDesk. The Customer is responsible for the accuracy of invoices it issues and for resolving disputes with guardians.
6. Customer data
- As between the parties, the Customer owns its Customer Data.
- The Customer grants SchoolDesk the rights needed to host and process Customer Data to provide the Service.
- The Customer is responsible for the accuracy of Customer Data and for obtaining any consents required from guardians and students under applicable law.
- Our handling of personal data is described in the Privacy Policy.
7. Acceptable use
You agree not to:
- use the Service unlawfully or to send unlawful, harassing, or harmful content;
- attempt to gain unauthorised access to the Service or other customers' data;
- interfere with or disrupt the integrity or performance of the Service;
- reverse engineer or copy the Service except as permitted by law; or
- resell or sublicense the Service without our written consent.
8. Third-party services
The Service integrates with third parties including Telegram and payment processors. Your use of those services is also subject to their own terms and policies. We are not responsible for third-party services, their availability, or changes they make.
9. Intellectual property
SchoolDesk and its licensors retain all rights, title, and interest in the Service, including all software, designs, and trademarks. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. No rights are granted except as expressly stated.
10. Availability & warranties
We work to keep the Service reliable but do not guarantee uninterrupted or error-free operation. Except as expressly stated and to the maximum extent permitted by law, the Service is provided "as is" without warranties of any kind, whether express or implied.
11. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, or loss of profits or data. Our aggregate liability arising out of or relating to the Service will not exceed the fees paid by the Customer for the Service in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
12. Term & termination
- Either party may terminate for material breach that remains uncured after reasonable written notice.
- You may stop using and cancel the Service at the end of your billing period.
- On termination, your right to use the Service ends. We will make Customer Data available for export for a reasonable period, after which it may be deleted in line with the Privacy Policy.
13. Governing law
These Terms are governed by the laws of Malaysia, and the courts of Malaysia have exclusive jurisdiction over any dispute arising out of or relating to them, without prejudice to any mandatory consumer protections that may apply.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated to Customers, and continued use of the Service after changes take effect constitutes acceptance. The "Last updated" date above reflects the current version.
